What does a Company Secretary do?
For the avoidance of doubt, a Company Secretary is not the same as a personal secretary.
An appointed Company Secretary plays an important role in every company where he or she provides advisory to the board of directors primarily on corporate law and governance as well to ensure that the annual statutory obligations of the company is fulfilled. Additionally, we protect and safeguard the interest of the company’s shareholders while its directors shall fulfill its fiduciary duties and act in their best interest of the company.

...so do I need a Company Secretary?
Yes, certainly!
The Companies Act 1967 of Singapore states the following:
“Section 171.—(1) Every company shall have one or more secretaries each of whom shall be a natural person who has his principal or only place of residence in Singapore and who is not debarred under section 155B from acting as secretary of the company.
Section 171.—(1A) It shall be the duty of the directors of a company to take all reasonable steps to secure that each secretary of the company is a person who appears to them to have the requisite knowledge and experience to discharge the functions of secretary of the company.”

It is not uncommon that a secretary could go missing. This may occur to inexperience company secretaries as they think that they can merely act as a secretary but does not actually know the importance of the role. Unless exempted, every Singapore incorporated companies is required by the Companies Act to hold an AGM after the end of every financial year before the Annual Return is filed with ACRA.
An AGM is a great opportunity to communicate and discuss on the company’s performance with its stakeholders as well to project any upcoming objectives with them.
The AR is an electronic form that is required to be lodged with ACRA after the end of every financial year for the purpose of reporting on the company’s structural and financial information.
For the avoidance of doubt, AR filing is not similar to tax return filing with the Inland Revenue Authority of Singapore (IRAS), and vice versa.
